Terms and Conditions

Your Unique Partner (YUP)
Effective: November 2025

1. Scope

  • These Terms and Conditions apply to all agreements between Your Unique Partner (hereafter “YUP”) and its customers regarding the use of the digital services provided by YUP.

  • These terms cover all areas of service provided by YUP, including:

    • Use of our startup management software

    • Use of our e-learning platform

    • Access to third-party partner deals and promotions

  • Any deviating, conflicting, or supplementary terms by the customer shall not become part of the agreement unless explicitly accepted in writing by YUP.

2. Subject Matter of the Agreement and Scope of Services

  • YUP offers a cloud-based software solution for startup support, access to digital learning content, and exclusive third-party partner offers.

  • The extent of services available depends on the selected pricing plan. Full details can be found on the YUP website.

  • E-learning content is available to users for the duration of their subscription. Redistribution, resale, or publication by the user is strictly prohibited.

  • Partner offers are made available as referrals. Contracts for third-party services are concluded solely between the user and the respective partner. YUP assumes no liability for third-party services.

  • Important Notice: All recommendations, guidance, or suggestions provided by YUP’s software, e-learning content, or website are non-binding. They are intended solely as general advice and guidance and do not constitute professional, medical, psychological, financial, or legal advice.

3. Contract Conclusion and User Account

  • Use of the services requires user registration on the YUP platform. An account will be created upon registration.

  • A contract is formed when the user selects a pricing plan and clicks “Order with obligation to pay” (or similar) and receives confirmation from YUP.

  • Users must keep login credentials confidential and must not share access with third parties.

4. Prices and Payment Terms

  • The current pricing is stated on the YUP website.

  • Payment is due monthly or annually in advance, via credit card, SEPA direct debit, or selected payment service providers.

  • In case of delayed payment, YUP reserves the right to suspend the user account until all outstanding payments are settled.

5. Data Usage and Privacy

  • YUP processes personal data in accordance with the GDPR and its Privacy Policy.

  • All user-entered data (e.g., startup ideas, tasks, planning, learning progress) is kept strictly confidential and never sold.

  • User data may be anonymized or pseudonymized for internal use, including AI-based feature optimization and recommendations.

  • The user retains full ownership of their data and may request access, correction, or deletion at any time.

6. Availability and Maintenance

  • YUP aims to ensure high platform availability but does not guarantee uninterrupted access.

  • Maintenance is scheduled outside of peak usage hours whenever possible and will be communicated in advance.

  • In the event of technical issues, YUP will act within a reasonable timeframe to restore services.

7. Liability

  • YUP is liable for damages in cases of intent and gross negligence. In cases of slight negligence, liability is limited to damages to life, body, health, or breach of essential contractual obligations.

  • For slight negligence, liability is limited to foreseeable, contract-typical damages.

  • YUP is not liable for damages caused by third-party providers or incorrect user entries.

8. Term and Termination

  • Contracts run indefinitely unless otherwise agreed. Users may cancel their subscription at any time at the end of the current billing period.

  • Cancellation can be processed via the user account dashboard.

  • Upon termination, the account is deactivated and personal data will be deleted or exported according to the user’s request and legal requirements.

9. Final Provisions

  • German law shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

  • The place of jurisdiction is the registered office of YUP, provided the user is a business entity.

  • If individual provisions of these Terms and Conditions are or become invalid, the validity of the remaining terms remains unaffected.
